1. Who We Are and How to Contact Us

  1. We are Paayed Ltd, trading as Paayed, a limited company with registration number 16202751. Our address is One Canada Square, Canary Wharf, London, E14 5AA. For information on the best way to contact us, see https://paayed.com/contact-us/ 
  2. Regulatory Status 
    Payco Ltd is not currently regulated by the FCA. Merchant card services are offered through a partnership with DNA Payments Limited (FCA FRN 806630), an authorized payment institution. 
  3. Data Protection Registration 

    Paayed Ltd is registered with the Information Commissioner’s Office (ICO) as a data controller. We will comply with all obligations under the Data Protection Act 2018 and UK GDPR regarding the processing of personal data. 

2. Our Contract with You

  1. These Terms apply to all services provided by Paayed Ltd to you, the client, including merchant card services, accounting, and CRM tools. 
  2. By using our services, you agree to be bound by these Terms, which form the entire agreement between you and us. 
  3. These Terms are made only in the English language. 

3. Services Provided

  1. Merchant Card Services 
    1. Paayed Ltd provides merchant card services to clients as an Independent Sales Organisation (ISO) partner of DNA Payments Limited. 
    2. All payment processing is powered by DNA Payments, who act as the regulated acquirer. 
    3. You must comply with DNA Payments’ terms and conditions for payment processing, which are incorporated by reference and available at: https://www.dnapayments.com/page/terms-use. DNA Payments Limited (Company No. 11154668, FCA No. 806630), registered office: 10 Lower Grosvenor Place, London, SW1W 0EN. 
  2. Accounting and CRM Tools 
    1. Paayed Ltd provides access to accounting and CRM tools for business management, including invoicing, expenditure tracking, and team management. 
    2. These tools are non-regulated activities. 

4. Your Obligations

  1. You must: 
    1. Provide accurate and up-to-date information when registering and using our services. 
    2. Use the services for lawful business purposes only. 
    3. Comply with all applicable laws, including data protection and anti-money laundering regulations. 
    4. Keep your login credentials secure and notify us immediately of any unauthorised access. 
  2. KYC/AML and Quality of Referrals 
    1. you must provide all information and documentation reasonably requested by Paayed Ltd or DNA Payments to satisfy Know Your Customer (KYC), anti-money laundering (AML), and counter-terrorist financing (CTF) requirements, both at onboarding and on an ongoing basis. 
    2. Such information may include, but is not limited to: company registration documents, proof of address, identification documents for directors and beneficial owners, details of business activities, and any other information required by law or regulation. 
    3. You must promptly notify Paayed Ltd of any changes to your business structure, ownership, or control, and provide updated KYC/AML information as required. 
    4. You must not use the services for any unlawful, fraudulent, or prohibited activities, and must ensure that all transactions are genuine and for legitimate business purposes. 
    5. Failure to provide satisfactory KYC/AML information or to meet quality standards may result in suspension or termination of services, and you will be responsible for any losses, penalties, or regulatory action arising from such failure. 

5. Payment Card Industry Data Security Standards (PCI DSS) and Card Scheme Compliance

  1. You must at all times comply with the PCI DSS, as well as any applicable card scheme rules, regulations, and security programmes (including but not limited to the Visa Account Information Security Programme and the MasterCard Site Data Protection Programme). 
  2. You must implement and maintain appropriate technical and organisational measures to protect cardholder data and prevent unauthorised access, use, disclosure, alteration, or destruction of such data. 
  3. You must provide, upon request by PaayedLtd or DNA Payments, evidence of your ongoing PCI DSS compliance, including but not limited to certificates of compliance, self– assessment questionnaires, and results of vulnerability scans. 
  4. You must permit and cooperate with any audit or inspection by Paayed Ltd, DNA Payments, card schemes, or their appointed representatives to verify your compliance with PCI DSS and card scheme rules. 
  5. If you fail to comply with PCI DSS or card scheme requirements, Paayed Ltd may suspend or terminate your access to the services immediately and you will be liable for any fines, penalties, or losses arising from such non-compliance. 

6. Data Security, Incident Reporting, and Audit

  1. You must implement and maintain appropriate technical and organisational measures to ensure the security, confidentiality, integrity, and availability of all data processed in connection with the services, including personal data and cardholder data. 
  2. In the event of any actual or suspected data breach, security incident, or unauthorised access to data, you must notify Paayed Ltd and DNA Payments in writing without undue delay and in any event within 24 hours of becoming aware of the incident. 
  3. You must cooperate fully with Paayed Ltd, DNA Payments, and any relevant authorities in investigating, containing, and remediating any data breach or security incident, including providing access to relevant records, systems, and personnel. 
  4. You must maintain complete and accurate records of all transactions and data processing activities, and permit Paayed Ltd, DNA Payments, card schemes, or regulators to audit your compliance with these obligations on reasonable notice. 
  5. You must comply with all applicable laws and regulatory requirements relating to data protection, including the Data Protection Act 2018 and UK GDPR. 

7. Fees and Payments

  1. Fees for services are as set out in your order form or service schedule. 
  2. Payment is due in advance (or as otherwise agreed), by direct debit, debit/credit card, or other agreed method. 
  3. DNA Payments may deduct payment processing fees directly from settlement amounts. 
  4. All fees are exclusive of VAT, which will be charged at the applicable rate.. 

8. Service Levels and Support

  1. We will use reasonable endeavours to provide the services with due care and skill. 
  2. Support is available via support@paayed.com or 0330.030.0045 during business hours. 
  3. We may suspend services for maintenance, security, or legal reasons, with reasonable notice where possible. 

9. Access to and Use of the Portal

  1. You are granted access to the Paayed portal and user interface (“UI”) for the duration of this agreement, solely for the purposes of using the services as described in these Terms. T
  2. You must keep your login credentials secure and not share them with any unauthorised person. 
  3. All data you provide via the portal or UI remains your property. However, you grant Paayd Ltd a non-exclusive, royalty-free licence to use, process, and store such data as necessary to provide the services and comply with legal and regulatory obligations. 
  4. Paayed Ltd may suspend or restrict access to the portal for maintenance, security, or legal reasons, with reasonable notice where possible. 

10. Intellectual Property and Branding

  1. All intellectual property in the services, software, and portal remains the property of Paayed Ltd or its licensors. 
  2. You are granted a non-exclusive, revocable licence to use the services for your business during the term of this agreement. 
  3. You may not use DNA Payments’ or card scheme trademarks, logos, or branding except as expressly permitted in writing and in accordance with all applicable rules. 
  4. You may not use the trademarks, logos, or branding of Paayed Ltd, DNA Payments, or any card scheme (including Visa, MasterCard, or others) in any advertising, marketing, or promotional materials without the prior written consent of the relevant party. 
  5. Any permitted use of such marks must comply with all applicable brand guidelines and card scheme rules, and must not suggest any endorsement or partnership beyond what is expressly agreed. 
  6. You must immediately cease any use of such marks upon request by Paayed Ltd, DNA Payments, or the relevant card scheme. 
  7. Unauthorised use of trademarks, logos, or branding may result in immediate suspension or termination of services and you will be liable for any losses, damages, or penalties arising from such misuse. 

11. Insurance

  1. You must maintain, at your own expense, the following insurance cover with reputable insurers for the duration of this agreement and for at least 12 months after its termination: 
    1. Public liability insurance with a minimum cover of £1,000,000 per claim; 
    2. Professional indemnity insurance with a minimum cover of £1,000,000 per claim; 
    3. Cyber and data breach insurance with a minimum cover of £1,000,000 per claim. 
  2. You must provide Paayed Ltd with evidence of such insurance (including policy documents and proof of premium payment) upon request and notify Paayed Ltd immediately of any cancellation, non-renewal, or material change to your insurance cover. 
  3. Failure to maintain the required insurance may result in suspension or termination of services, and you will be liable for any losses, claims, or liabilities that would have been covered by such insurance. 

12. Limitation of Liability

  1. Our liability to you is limited to the total amount of fees paid by you to us in the six months preceding the event giving rise to the claim, or £5,000, whichever is greater. 
  2. We are not liable for indirect, consequential, or business losses. 
  3. Nothing in these Terms limits liability for fraud. 

13. Term and Termination

  1. These terms continue until terminated by either party giving not less than one (1) month’s written notice to the other. 
  2. We may terminate immediately for breach, insolvency, or as required by law, DNA Payments, card schemes, or regulators. 
  3. On termination, you must cease using the services and return or delete all confidential information. 

14. Changes to Terms

  1. We’ll let you know via email or another durable medium about any changes we’re making to these terms (including the policies referred to in them), unless they’re just editorial changes which don’t alter the terms’ content or meaning. 
  2. Normally, we’ll give you at least 30 days notice before such changes take effect. 
  3. We’ll give you more notice if a change we’re making impacts on the way you do things, either technically or commercially (a significant change). 
  4. A significant change includes, but is not limited to: the introduction of new fees or charges; material changes to the services provided; changes required by law or regulation; changes to data protection practices; amendments to liability or indemnity provisions; changes to termination rights or notice periods; or the incorporation of new third-party terms. Where a significant change is made, we will provide you with at least 30 days notice and you may terminate the agreement before the change takes effect if you do not accept it. 
  5. We will not give you advance notice if we have to make a change with immediate effect, whether for legal or regulatory reasons, or to protect Paayed, our suppliers, or our customers from fraud, malware, spam, data breaches, or other cybersecurity risks. 
  6. We may update these terms by giving you at least 30 days notice. Continued use of the services after notice constitutes acceptance. 
  7. You may terminate the agreement before changes take effect if you do not accept them. 

15. General

  1. Assignment: You may not assign or transfer your rights without our written consent. 
  2. Force Majeure: Neither you nor we (the affected party) shall be in breach of this agreement or otherwise liable for any failure or delay in performing their obligations if such delay or failure results from events, circumstances or causes beyond the affected party’s reasonable control. The time for performance of such obligations shall be extended accordingly. If the period of delay or non-performance continues for more than two (2) months, the party not affected may terminate this agreement by giving fourteen (14) days’ written notice to the affected party.. 
  3. These terms and the policies referred to in them constitute the entire agreement between you and us in relation to our services. 
  4. Both you and we acknowledge that in entering into this agreement neither of us relies on any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these terms and conditions. Both you and we agree that neither of us shall have any claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in these terms and conditions. 
  5. Governing Law: This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales. 
  6. Each of us irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this agreement, its subject matter or formation. 

17. Incorporation of DNA Payments Terms

  1. Payment processing services are provided by DNA Payments Limited, an FCA-authorised payment institution (FRN 806630). Their terms and conditions are incorporated by reference and apply to all payment processing. In the event of conflict, DNA Payments’ terms prevail for payment processing.

18. Defined terms

  1. In these Terms, unless the context otherwise requires, the following expressions have the following meanings: 
  2. “Agreement” means these Terms and Conditions for Merchant Card Services, as amended from time to time. 
  3. “Business Day” means any day other than a Saturday, Sunday, or public holiday in England and Wales. 
  4. “Card Scheme” means any payment card scheme, including but not limited to Visa, MasterCard, and any other card network relevant to the services. 
  5. “Client”, “you”, “your” means the business customer entering into this Agreement with Paayed Ltd. 
  6. “Confidential Information” means all information, whether in written, oral, electronic, or other form, that is disclosed by one party to the other and is marked or otherwise identified as confidential, or which by its nature should reasonably be considered confidential. 
  7. “CRM Tools” means the customer relationship management software and related tools provided by Paayed Ltd as part of the services. 
  8. “Data Protection Laws” means all applicable data protection and privacy legislation in force from time to time in the UK, including the Data Protection Act 2018 and the UK General Data Protection Regulation (UK GDPR). 
  9. “Data Subject” has the meaning given to it in Data Protection Laws. 
  10. “DNA Payments” means DNA Payments Limited (company number 11154668), an FCA- authorised payment institution (FRN 806630), which provides payment processing services under this Agreement. 
  11. “KYC/AML” means “Know Your Customer” and “Anti-Money Laundering” requirements, including all applicable laws, regulations, and guidance relating to the identification and verification of clients and the prevention of money laundering and terrorist financing. 
  12. “Merchant Card Services” means the card payment processing services provided by Paayed Ltd as an ISO partner of DNA Payments, including the acceptance and processing of card payments. 
  13. “Order Form” means the document or online form completed by the Client and accepted by Paayed Ltd, setting out the specific services to be provided and the applicable fees. 
  14. “PCI DSS” means the Payment Card Industry Data Security Standards, as updated from time to time, and any related card scheme security requirements. 
  15. “Personal Data” has the meaning given to it in Data Protection Laws. 
  16. “Services” means the merchant card services, accounting tools, CRM tools, and any other services provided by Paayed Ltd under this Agreement. 
  17. “Settlement Amount” means the amount due to the Client from card transactions processed, after deduction of all applicable fees, charges, and other amounts due under this Agreement. 
  18. “Terms” means these Terms and Conditions, including any schedules, appendices, or documents incorporated by reference. 
  19. “VAT” means value added tax chargeable under the Value Added Tax Act 1994 and any similar, substitute, or replacement tax. 
  20. “We”, “us”, “our”, Paayed means Paayed Ltd (trading as Paayed), company number 16202751, and its successors and permitted assigns.
