1. Overview of this Agreement

This Paayed Services Agreement (“Agreement”) is a legal contract between Paayco Limited (“Paayco”, “us”, or “we”) and the individual or entity (“you”, “your”, or “user”) that has registered to receive payment processing, data, technology, analytics services, and other business services offered by Paayco and its affiliates (collectively referred to as “Services”). This Agreement outlines the terms and conditions governing your use of the Services.

You may not access or utilize any Services unless you agree to abide by all terms and conditions set forth in this Agreement.

2. Your Paayco Account

a. Registration and Permitted Activities: Only businesses, including sole proprietors, legitimate charitable organizations, and other entities or individuals located in the United Kingdom and the European Union, are eligible to apply for a Paayco Account to access the Services described herein. Paayco and its affiliates may offer Services to you or your affiliates in other jurisdictions under separate agreements.


To register for a Paayco Account, you, or your designated representative (“Representative”), must provide us with your business name, physical address, email, phone number, business identification number, website URL, a description of your business activities, and other relevant information. We may also collect personal data about your beneficial owners, principals, and your Paayco Account administrator. Until you have submitted all required information and we have reviewed and approved it, your Paayco Account will be only provisionally available, and we may terminate it at any time for any reason in accordance with our policies.


If you use Payment Processing Services, your name (or the name used to identify you) and website URL may appear on your Customers’ bank or other statements. These descriptors must be clear and accurately reflect your business to minimize confusion and avoid disputes. Payment Processing Services may only be used to facilitate transactions with your Customers and not for personal transactions or any prohibited purposes under this Agreement.

b. Business Representative: You and your Representative confirm that your Representative is authorized to provide the required information on your behalf and to bind you to this Agreement. We may require further documentation to demonstrate this authority. Without our express written consent, neither you nor your Representative may register or attempt to register for a Paayco Account on behalf of anyone previously terminated from using the Services.


If you are a sole proprietor, you and your Representative also confirm that your Representative is personally accountable for your use of the Services and your obligations to Customers, including any payments owed under this Agreement.

c. Validation and Underwriting: Throughout your use of the Services, we may request additional information to verify ownership or control of the business, validate information provided, verify identities, and assess your financial condition and associated risks. This may include business invoices, identification documents, business licenses, or other relevant information. If you use Payment Processing Services, we may also request financial statements and other documentation to evaluate credit exposure and compliance with this Agreement. Failure to provide requested information may lead to suspension or termination of your Paayco Account.

You authorize us to obtain information about you from third parties, including credit reporting agencies, and you direct these parties to provide such information to us. You acknowledge that this may include your name, address, credit history, and other relevant data, and that such information could result in the suspension or termination of your Paayco Account.

d. Keeping Your Paayco Account: You agree to keep your Paayco Account information up to date. You must promptly update your account with any changes to your business activities, Representatives, beneficial owners, or any other relevant information. Failure to keep this information current may result in suspension or termination of your Paayco Account.


You also agree to notify us in writing within three days of any significant events affecting your business, such as bankruptcy proceedings, adverse changes in financial condition, significant asset transfers, changes in business control, or regulatory investigations.

3. Your Relationship with Your Customers

You may only use the Services for legitimate transactions with your Customers. You are responsible for your relationship with them, including the quality of products or services provided, and for all aspects of delivery, support, refunds, and returns. Paayco is not liable for the products or services you offer or for any issues arising from transactions facilitated through the Services.


You are responsible for identifying and addressing any erroneous or suspicious transactions initiated by your Customers and for any resulting losses.

4. Fees and Fines

Paayco will provide the Services at the rates specified. Fees include charges for processing transactions and other account-related events. We may revise these Fees, providing you with at least 30 days’ notice before any changes take effect.


You are also responsible for any penalties or fines incurred related to your Paayco Account due to prohibited use of the Services.

5. Services and Paayco Account Support

We will provide support for general issues related to your Paayco Account and the Services. You are responsible for providing assistance to your Customers concerning transactions and related issues, unless otherwise agreed in a separate agreement.

6. Taxes and Other Expenses

Our fees do not include any applicable taxes unless stated otherwise. You are solely responsible for determining and remitting any taxes related to your business activities. We may withhold taxes if necessary, and you must provide documentation if exempt.

7. Service Requirements, Limitations, and Restrictions

a. Compliance with Applicable Laws: You must use the Services lawfully and comply with all relevant laws and regulations.


b. Restricted Businesses and Activities: You may not use the Services for Restricted Businesses, which include activities or transactions prohibited by law or that benefit sanctioned individuals or entities. Review the list of Restricted Businesses before registering for a Paayco Account.


c. Other Restricted Activities: You may not use the Services for illegal transactions or allow unauthorized access to Paayco systems. You are prohibited from actions that interfere with the normal operation of the Services.

8. Suspected Unauthorized or Illegal Use

We may refuse, condition, or suspend transactions that we suspect may violate this Agreement or pose unacceptable risks. We may share information regarding such activities with appropriate authorities.
